ARTICLE 1
NAME
Section 1:
Name
The name of this association shall be the Philippine
Nurses Association of
Oregon/Washington hereinafter called PNA-OR/WA.
The PNA-OR/WA shall be a chapter of the Philippine
Nurses Association of America (PNAA).
ARTICLE II
MISSION
Section 1:
Mission
The mission of the PNA-OR/WA is to promote unity
among Filipino nurses.
ARTICLE III
PURPOSE
Section 1:
Purpose
The purpose of the PNA-OR/WA is to promote fellowship
and unity among Filipino nurses and to foster positive image in the community by
maintaining nursing values, uniqueness, compassion, and dignity of the nursing
profession.
ARTICLE IV
GOAL
Section 1:
Goal
Utilize professional, leadership, and unity among
Filipino nurses in Oregon and
SW Washington
while developing and fostering improvement within the healthcare environment and supporting the advancement of the nursing
profession.
ARTICLE V
OBJECTIVES
Section 1:
Objectives
Plan activities that will unify Filipino nurses
in Oregon and SW Washington.
Develop a mentoring and coaching plan for newly
relocated Filipino nurses.
Develop an orientation packet for new members of
the PNA-OR/WA.
Collaborate with other professional organizations
and agencies in supporting continuing education, research, and nursing practice.
ARTICLE VI
MEMBERSHIP AND DUES
Section 1:
Membership
The PNA-OR/WA shall consist of Filipino Registered
Nurses (RNs), other non-Filipino RNs, Licensed Practical Nurses (LPNs), Nursing Students, Certified Nursing Assistants (CNAs),
and Auxiliary Members.
Regular members are Filipino nurses licensed in
Oregon and Washington, and with a paid membership fee for
the current year.Auxiliary members are Filipino nurses not licensed in Oregon and Washington, LPNs, Unlicensed, Retired Nurses, Student Nurses (Unlicensed),
and non-Filipino Nurses.
Membership will be established after submission
of a completed membership
application and payment in full of the annual membership
dues.
Membership period will be a period of 12 consecutive
months, beginning January 01 until December 31 (calendar year).
Section 2: Dues
Annual dues shall be recorded by calendar year
from January 01 ending December 31.
Regular members will pay an annual fee of $35.00
($10.00 for national membership and $20.00 for the OR/WA chapter membership). Auxiliary members will pay an annual fee of
$15.00.
2). To be a current active member of the PNA-OR/WA, all members
shall pay the required PNA-OR/WA annual dues, to be collected by the chapter treasurer.
3).
Membership cards shall be issued upon receipt of the correct membership dues.
4).
Changes in membership structure and dues will be determined by the Executive Board and approved by the majority of
the membership present and voting at any regular business meeting of PNA-OR/WA.
ARTICLE VII
DUTIES, RIGHTS, PRIVILEGES OF MEMBERS
Section 1:
Members shall abide by the By-Laws of the PNA-OR/WA
1.1).
Membership in the association is a privilege and is achieved by compliance with these By-Laws.
Section 2:
Regular and Auxiliary members shall pay the prescribed fee.
Section 3:
Regular members shall have the right to vote and to be voted upon.
Members shall request for a special meeting from
the Executive Board by written request to the President, and signed by at least four (4) members.
Members may inspect the books and records of the
association for lawful and definitive purpose with the consent of the president.
Auxiliary Members shall have the same duties, rights,
and privileges of regular members except the right to vote and to run for office.
ARTICLE VIII
EXECUTIVE BOARD
Section 1:
Executive Board
The ultimate authority in the association will
be vested on the Executive Board consisting of seven (7) elected officers and advisors
board members of the association. Any vacancy in the Executive Board will be filled
by a duly qualified member appointed by the President and approved by the Executive
Board.
ARTICLE IX
EXECUTIVE OFFICERS, ELECTION, DUTIES AND RESPONSIBILITES
Section 1:
Executive Officers, Election, Duties and Responsibilities.
The officers of the association consist of the
President, President-Elect, Vice-President, Secretary, and Treasurer, Auditor, and the PRO.
Section 2:
Election and Eligibility.
1).
Election of Officers and members of the Board of Directors will be held biennially (2) for the designated elected year.
2).
To be eligible to serve for an elected office, a nominee must have an active membership and has expressed interest
and commitment to serve the term of office.
3).
To be eligible to serve for the office of the President-Elect, a nominee must have served in term in the Executive
Board immediately preceding nomination.
4).
A nominee maybe a candidate for only one office at a given time and if holding an elected office may not be a candidate
for another offrice unless the current term expires at the time of the election.
5).
In the presence of a tie vote on any position, the Executive Board will break the tie.
Section 3:
Term of Office
1). All elected officers will serve two (2) consecutive years and
can be re-elected to the same office for another term exect for the President and the President-Elect.
2).
The absence of officers and members of the Board of Directors for more than Fifty (50%) of the regular meetings may
be grounds for termination from office, unless the Executive Board validates justification for the absence.
Section 4:
Duties of the Officers
The
President
The President acts as chairperson for the Executive
Board
The President calls and presides at the general
and board meetings.
The President appoints all chairpersons for working
committees subject to the approval of the Executive Board.
The President signs or countersigns all official
documents of the PNA-OR/WA.
The President participates in all committees and
act as ex-officio member, except in the nominations and election committee.
The President endorses a written summary of all
transactions, activities, official documents, money, and other properties of the organization to the incoming Executive Board
within thirty (30) days after termination of office.
The
President-Elect
The President-Elect will perform the duties of
the President in his/her absence or inability to act. The President-Elect will perform other duties as may be delegated by
the president or the Executive Board. To appoint – to assume position by another officer holding office for 2 years.
The
Vice President
The Vice-President will perform duties of the President-Elect
in
the absence or inability of the President-Elect
to act.
The Vice-President performs other duties as my
be delegated by the President or the
Executive
Board.
Secretary
The Secretary will record the proceedings of all
business meetings.
The Secretary will distribute approved minutes
to all members and pertinent data to respective committee chairpersons.
The Secretary will preserve all reports, pertinent
records, and membership roster of the association.
The Secretary will issue notices regarding meetings
and activities.
The Secretary will send out information to all
members regarding projects, programs, and activities undertaken by the organization.
Treasurer
The Treasurer will be responsible for the financial
affairs of the
organization.
The Treasurer will keep a record of all receipts
and disbursements.
The Treasurer will execute appropriate banking
transactions as designated by the Executive Board.
The Treasurer will issue checks of the association,
countersigned by the President, for purposes as approved by the Executive Board.
The Treasurer will assist in the direction of fund
raising activities.
The Treasurer will present financial records for
examination by Executive Board and outside regulators.
The Treasurer acts as the chairperson of the Finance
Committee.
The Treasurer will submit a written report of the
fincial standing of the organization at the regular meeting.
ARTICLE X
MEETINGS/QUORUMS
Section 1.
A general meeting shall be held monthly.
The Executive Board shall meet quarterly or more
frequent whenever necessary.
The date, time and place of all meetings shall
be designated by the Executive
Board and communicated to the general membership
at the start of each calendar year.
Section 2. Attendance
of 33% of all active members shall constitute a quarum in the general
Assembly.
2.1
A majority of the Executive Board (51%) is necessary at all meetings to constitue a quorum. Matters submitted for voting shall be determined by majority vote of members present during the meeting.
ARTICLE XI
STANDING COMMITTEES
Section 1.
The standing committees of this organization shall be: Membership, Education and Research, Legislative and By-Laws,
Budget and Finance, Publication/Publicity, Nominations and Election, Program/Cultural Affairs and Awards, Ways and Means,
Human Rights.
Section 2.
The President, with the approval of the Executive Board, shall appoint the chair and members of the committees members.
The chair will be responsible for choosing their members. The Committee shall consist of a chair, which is either a member
of the Board or an active members, a co-chair, and at least two (2) other members.
Section 3.
The committees’ responsibilities shall be as follows:By-Laws and Legislative Committee – The committee
will review the By-Laws and submit recommendations for amendments to the Executive Board for approval by the members during
general assembly. The committee shall disseminate information regarding current issues and legislative proposals that directly
or indirectly affect members and the profession and collaborating with other organizations/agencies in addressing and supporting
legislations that affect the nursing profession and health care.
Membership Committee – The committee will
initiate programs for membership recruitment and recommend strategies for recruitment
and retention of members.
Education/Research Committee – The committee
will plan and impement
educational programs to meet membership needs and
collaborate with other
educational agencies to promote professional growth.Finance
Committee – The committee will prepare an annual budget for approval of the Executive Board prior to the beginning of
the next fiscal year.Ways and Means Committee – The committee will explore ways to raise funds.
Publication/Publicity Committee – The committee
will coordinate media releases in order to enhance the image of the association.Nomination and Election Committee –
The committee is responsible for nomination and election proceedings, tallying ballots, and reporting of results.Program/Cultural
Affairs Committee – The committee will promote diversity, cultural values and professionalism through collaboration
with other organizations, coordination of social activities to enhance cooperation.Section 4.Committee Report – Each
committee chair will submit a written report on activities and accomplishments at the quarterly meeting.
ARTICLE XII
ADVISORY BOARD
Section 1.
The Advisory Board will be comprised of past Presidents of the association who have maintained a good standing and
participation. The Executive Board may appoint leaders who are recognized in their fields of endeavor and resource persons
who have demonstrated interest in furthering the goals of the organization to the Advisory Board. The Executive Board will
determine criteria for membership of persons to the Advisory Board, other than past Presidents.
Section 2.
Functions of the Advisory Board The Advisory Board will act in an advisory capacity and participate without voting
privileges, in deliberation and making recommendations to the deliberation and making recommendations to the Executive Board.The
Advisory Board will participate in activities to further the purpose of the association.
ARTICLE XIII
AMENDMENTS
Section 1.
The By-Laws my be amended by the affirmative vote of the majority of members present at any general meeting, provided
such proposed amendments have been considered and recommended by the majority of the Executive Board prior to voting.
ARTICLE XIV
INTERPRETATION
Section 1.
The constitution and By-Laws shall be constructed and interpreted liberally but objectively in order to attain the
goals of the association.
ARTICLE XV
DISSOLUTION
Section 1.
In the event of dissolution of this association, the general membership should be notified and noted within 30 days
of dissolution. Liabilities shall be resolved and funds shall be distributed to charity as agreed upon by the Executive Board.
